Terms and Conditions

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. SUBJECT TO ALL FEDERAL, STATE, MUNICIPAL, AND LOCAL LAWS, REGULATIONS, AND ORDINANCES. VOID WHERE PROHIBITED BY LAW.

These are the official rules (the “Official Rules”) that govern the Bay Golf Club x Saatva Giveaway taking place from January 23, 2026 through February 23, 2026 (the “Giveaway”). Participation in the Giveaway constitutes Entrant’s (defined below) full and unconditional acceptance of these Official Rules.

1. Sponsor. This Giveaway is promoted, sponsored, and administered by SF Golf HoldCo, dba The Bay Golf Club (the “Sponsor”). Whitestone Home Furnishings, LLC, dba Saatva (“Saatva”) is a prize provider for this Giveaway and shall be included as a Released Entity (as defined in Section 9(c)) for all purposes under these Official Rules.

2. Eligibility. Participation in the Giveaway is open only to legal residents of the United States of America who are at least 18 years of age (or the applicable age of majority in their jurisdiction of residence, which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) at the date/time of entry (the “Entrants”). Entrants shall not include persons residing in U.S. territories, such as Puerto Rico, Guam, or the U.S. Virgin Islands, New York, Rhode Island, or any other jurisdiction where the Giveaway is prohibited by law. Additional eligibility requirements may be announced during the Event (as defined below). Void where prohibited or restricted by law. Employees, officers and directors of Sponsor and its subsidiaries, affiliates, sponsors, suppliers, partners, advertising and promotion agencies, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. To participate in the Giveaway, you must be an authorized account holder of a valid Email account, which are free to create. Entrants must have a Email account to be contacted by Sponsor, in the event they are selected as a Potential Winner. If you are using your mobile device to enter the Giveaway, charges, including message and data rates, may apply. You should consult your wireless service provider regarding its pricing plans. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider may apply.

3. Entry Period. The Giveaway will begin on January 23, 2026 at 9:00 AM PT and shall end on February 23, 2026 at 9:00 AM PT (the “Entry Period”). The official timekeeping clock shall be the Sponsor’s clock. Entrant’s entry must be received by the Sponsor with the Entry Period to be entered into the Giveaway.

4. How to Enter.

a. NO PURCHASE NECESSARY TO ENTER. During the Entry Period, Entrants can enter the Giveaway by completing the following information on the The Bay Golf Club website (https://tglgolf.com/thebaygolfclub/activations/saatva-sweeps). Entries made by an Entrant but not received or accepted by the Sponsor are void, and the Sponsor is not responsible for any entries not received or accepted. Any fraudulent interference with the entry process or attempt to breach these Official Rules may result in Entrant’s disqualification from the Giveaway in the sole discretion of the Sponsor.

b. Entrant can enter the Giveaway only one (1) time. Entry into the Giveaway does not constitute entry into any other giveaway operated by Sponsor.

c. By submitting an entry, you agree to be fully unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements. Those who do not follow all of the instructions or abide by these Official Rules or other instructions of Sponsor may be disqualified.

d. By submitting an entry, you acknowledge and agree that you will clearly and conspicuously disclose that you are participating in a Giveaway in any online social sharing interaction that references the Giveaway.

e. No automated entry devices and/or programs are permitted. Receipt of entries will not be acknowledged or returned. Sponsor is not responsible for late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entries are eligible. Proof of submission of an entry will not be deemed to be proof of receipt by Sponsor.

5. Winner Selection. On February 23, 2026 at or shortly after 12 PM PT, at Sponsor’s regular place of business, Sponsor shall randomly select ONE (1) Entrant(s) (each, a “Potential Winner”) from all Entries received during the Promotion Period, with the Potential Winner being subject to eligibility verification. All decisions of the Sponsor are final and binding with respect to all matters related to the Giveaway. A Potential Winner becomes a “Winner” when the Potential Winner complies with the terms set forth in Section 8 herein, and otherwise complies with these Official Rules.

6. Prizes. There will be ONE (1) prize offered for the Giveaway (the “Prize”). The Winner(s) will receive the following Prize:

• $4,999 Saatva Store Credit to be used within one year after award (“Saatva Store Credit”).

• Roundtrip Economy Airfare for Two (2)• One (1) Night Stay in standard room accommodations at the Palm Beach Gardens

• Two (2) VIP Tickets to The Bay Golf Club vs. Jupiter Links Golf Club, March 3, 2026

• Includes all-inclusive food & beverage

• Player Meet & Greet

• The Bay Golf Club Team Swag

The Prize, which has an approximate retail value (“ARV”) equal to $8,000. No Prize substitution shall be permitted except at Sponsor’s discretion. The Prizes are nontransferable. Any and all Prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the Winner. Notwithstanding the foregoing, the experiential components of the Prize (including VIP tickets, roundtrip airfare, and hotel accommodations) shall be coordinated and confirmed with the Winner within forty-eight (48) hours of Winner verification to ensure timely attendance at the March 3, 2026 event. The Saatva Store Credit and team swag may take up to eight (8) weeks for delivery to Winner upon Winner’s written notice to Sponsor of the Winner’s delivery information, subject to applicable law.

7. Odds: The odds of winning depend on the number of eligible entries received during the Promotion Period for the Giveaway.

8. Winner Notification. The Potential Winners will be notified that they have been randomly selected as a Potential Winner of the Giveaway by email (the "Prize Notification"). IT IS ENTRANT’S SOLE RESPONSIBILITY TO CONFIGURE ENTRANT’S ACCOUNT PRIVACY SETTINGS SO AS TO ACCEPT PRIVATE MESSAGES FROM SPONSOR. In the event that any Potential Winner does not respond to Prize Notification within twenty-four (24) hours of the time of issuance (or such other timeframe as specified within the Prize Notification) or declines the prize for any reason, a disqualification will result, the Prize will be forfeited. Each Potential Winner may be required to execute, and return a Declaration of Compliance within twenty-four (24) hours of the time of issuance (or such other timeframe as specified by Sponsor). Failure to (i) respond to the Prize Notification within twenty-four hours of Sponsor sending the Prize Notification; (ii) submit any identification required by Sponsor or return any required documents within the specified time period; (iii) non-compliance with these Official Rules; or (iv) the return the Prize (or any portion thereof) as non-deliverable may result in the Potential Winner’s disqualification and Prize forfeiture. In the event of any disqualification and/or forfeiture, Sponsor may select alternative Potential Winner(s).

9. Conditions and Releases.

a. Any and all federal, state and local taxes are the sole responsibility of the Winners.

b. By participating in the Giveaway, each Entrant and Winner gives Sponsor and Sponsor’s sponsors and suppliers related to the Giveaway (the “Giveaway Suppliers”) permission to use the Entrant’s name, address (city and state), likeness, image, photograph, picture, portrait, voice, biographical information, entry and/orany statements made by the Entrant regarding the Giveaway, the Giveaway Suppliers, or Sponsor for advertising, marketing, and promotional purposes without notice or additional compensation, except where prohibited by law. Entrants expressly acknowledge that such permission and consent includes the right and ability of Sponsor and the Giveaway Suppliers to use, incorporate, and include the Winner’s name, image and likeness in the design, production, and distribution of content and materials related to the Giveaway for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law.

c. By participating in the Giveaway, each Entrant and Winner agrees to release and hold harmless Sponsor, Saatva, and their respective advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, “Released Entities”), from any and all liability, for loss, harm, damage, injury, cost or expense whatsoever including without limitation, property damage, personal injury and/or death which may occur in connection with, preparation for, travel to, or participation in the Giveaway, or possession, acceptance and/or use or misuse of prize or participation in any Giveaway-related activity and for any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement or any other intellectual property-related cause of action. Entrants who do not comply with these Official Rules or who attempt to interfere with these Giveaway in any way shall be disqualified. Neither Sponsor nor Saatva is responsible if the Giveaway cannot take place or if any Prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, pandemic, epidemic, weather or acts of terrorism.

10. General Terms.

a. The decisions of Sponsor are final and binding on all matters relating to the Giveaway.

b. Persons who tamper with or abuse any aspect of the Giveaway, attempt to undermine the legitimate operation of the Giveaway by cheating, deception, or other unfair playing practices, intend to annoy, abuse, threaten, or harass any other entrant or any representative of Sponsor, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Sponsor shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to the Giveaway and to resolve all disputes in its sole discretion.

c. Released Entities, including Saatva, make no warranty, guaranty, or representation of any kind concerning any Prize (or any portion thereof) and disclaim any implied warranty.

d. Sponsor reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Giveaway (or any portion thereof) in the event Sponsor is prevented from executing the Giveaway as contemplated herein by any event beyond Sponsor’s control, including but not limited to: fire, flood, earthquake, explosion, pandemic or other public health crisis, labor dispute or strike, act of God or public enemy, network or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), court order, or federal, state, or local government law, order, or regulation. Sponsor also reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Giveaway (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes or events corrupt administration, security, fairness, integrity, or proper operation of the Giveaway. In the event of cancellation, Sponsor may elect to identify the Winner and award the Prize by way of random drawing from among all non-suspect, eligible entries received up to the time of cancellation. Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Giveaway.

e. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR OTHER PROPERTY ASSOCIATED WITH THE GIVEAWAY OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY ENTRANT RESPONSIBLE FOR THE ATTEMPT AND SPONSOR AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.

f. Entries generated by a script, macro, or other mechanical or automated means will be disqualified. In the event of dispute as to the identity or eligibility of any Potential Winner based on an account, the winning entry will be declared made by the Authorized Account Holder of the applicable account used to enter the Giveaway, provided he/she is eligible according to these Official Rules. The "Authorized Account Holder" is defined as the natural person who is assigned to the account by the applicable social media/streaming site.

g. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.

a. Neither Sponsor nor Saatva makes any representations or warranties of any kind, express or implied, regarding the Prize or Entrant’s participation in the Giveaway. By participating in the Giveaway, Entrants agree to release, indemnify, defend, and hold harmless the Released Entities from and against any claim or cause of action arising out of participation in the Giveaway including any breach of these Official Rules.

b. Released Entities, including Saatva, are not responsible for: stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, scrambled, damaged, delayed, undelivered, mutilated, postage-due, or garbled entries, transmissions, email, or mail; lost, interrupted, or unavailable network, cable, satellite, server, Internet Service Provider (ISP), wireless network, website, or other connections; availability, accessibility, miscommunications, or failures of computer, satellite, telephone, cable, or wireless transmissions or lines; computer hardware or software malfunctions, failures, or difficulties; wireless service congestion; failures or malfunctions of phones, phone lines, telephone systems, wireless towers, or cellular tower equipment; any error, omission, interruption, defect, or delay in wireless or other transmission, processing, or communication; printing, typographical, or other errors appearing within these Official Rules, in any Giveaway-related advertisements, or other materials; or any other errors, problems, or difficulties of any kind, whether human, mechanical, electronic, or other, relating to the Giveaway, including, without limitation, errors or difficulties which may occur in connection with administration of the Giveaway, processing of Entries, announcement of any Winner, or any Giveaway-related materials. Released Entities, including Saatva, are also not responsible for any incorrect or inaccurate information, whether caused by website users (e.g., hacking) or by any equipment or programming associated with or utilized in the Giveaway.

c. Released Entities, including Saatva, are not responsible for injury or damage to Entrant’s or to any other person’s computer and/or wireless device related to or resulting from participating in the Giveaway or downloading from and/or printing material downloaded from any websites associated with the Giveaway.

d. The Giveaway and the Prize are provided by Sponsor and Saatva “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose or noninfringement.

12. Arbitration; Class Action Waiver; Governing Law.

a. As a condition of entering each Giveaway, each Entrant agrees that: (a) any and all disputes, claims, controversies, or causes of action arising out of or relating to the applicable Giveaway or any Prizes awarded (each, a "Claim") shall be (i) arbitrated on an individual basis only and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party and (ii) settled by binding arbitration in New York, New York before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (b) under no circumstance will entrant be permitted toobtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses.

b. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York, New York U.S.A, applicable to contracts entered into and performed exclusively in that State.

13. Privacy/Use of Data. Sponsor will be collecting personal data about entrants online, in accordance with its Privacy Policy found at https://tglgolf.com/info/privacy-policy. By participating in the Giveaway, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy. Additionally, by accepting the Saatva Store Credit, the Winner agrees to Saatva’s collection and usage of Winner’s personal information in accordance with Saatva’s Privacy Policy found at https://privacy.saatva.com/, and acknowledges that they have read and accepted Saatva’s Privacy Policy.

14. Winner List. For a list of Winners, send a self-addressed, stamped envelope to: SF Golf Holdco LLC (dba The Bay Golf Club), Attn: The Bay Golf Club x Saatva Giveaway, 11 West 42nd Street, 9th Floor, New York, NY 10036 within six (6) months of the expiration of the Promotion Period.

15. No Implied Endorsement. The names of individuals, groups, companies, products and services mentioned herein, associated with Sponsor, or included on any prize, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a Prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The Giveaway is in no way sponsored, endorsed, administered by, or associated with any third party social media platform which may be used to promote the Giveaway.

Declaration of Compliance

By participating in this the Giveaway, I, ___________, am submitting this Declaration of Compliance to the Sponsor with the understanding that it will be relied upon by the Sponsor in connection with my having been selected the winner of the Giveaway. All capitalized terms shall have the same definition as those set forth in the Official Rules of the Giveaway.

I represent that I satisfy all eligibility requirements set forth in the Official Rules, which I acknowledge I have read and understood, and any other requirements imposed by law;

I hereby represent and affirm that I have read, understood, complied with and will continue to comply with all the rules, regulations, and terms and conditions set forth in the Official Rules;

I have not perpetrated and will not perpetrate any fraud or deception in connection with the contest and have not sought to influence the outcome other than by participating as expressly

permitted in the Official Rules;

I will be responsible for all applicable taxes on the Prize(s) and hereby agree to indemnify and hold harmless the Sponsor for any claim by any governmental agency relating back to the collection of said taxes;

I understand that any non-compliance with the Official Rules may result in my disqualification from the Giveaway and other penalties from the Sponsor, including, without limitation, loss of the Prize(s);

I hereby grant the Sponsor an irrevocable fully paid up, worldwide, royalty free, sublicensable and transferable license to display, create derivatives of, and otherwise use my likeness, voice, image, photographs, social media account names, and name in connection with the promotion, marketing, and making historical reference to this Giveaway.
